ABSTRACT
This research examines the winding up process of accompany in Uganda. In that process many principles including the principle of corporate personality and its consequences to a winding up company, the types of liquidation, the nature of liquidation, the scope of winding up , the court jurisdiction that handles winding lP petition, the doctrine of inability to pay debts. It further analyses the consequences of winding up of a company, the Income Tax implications on an insolvent company. The study looks at what cuts across the Insolvency Act, the Company's Act and the Income tax act. It finales with the conclusion of the study, and emphasizes on the recommendations in the inadequacies of the winding up process.
